Lancaster Estates Homeowners Association (“LEHOA”) and Cumbria Ridge Inc. through its Buyani platform, are committed to deliver innovations in community services to you. As such, this policy outlines our legal obligations in respect of how we collect, handle, and store your Personal Information in accordance with the Data Privacy Act of 2012 or Republic Act No. 10173 and its Implementing Rules and Regulations (IRR).

The Data Privacy Principles (DPPs) as identified in Rule IV, Implementing Rules and Regulations of the Data Privacy Act govern the way by which LEHOA is allowed to collect, use, disclose, store, secure and dispose of your Personal Information. Collection of Personal Information

Personal Information refers to any information whether recorded in a material form or not, from which the identity of an individual is apparent or can be reasonably and directly ascertained by the entity holding the information, or when put together with other information would directly and certainly identify an individual. {Section 3 (g)}

The following personal information, which you may provide to us, falls within the purview of Personal Information:

Personal details, such as your name, postal/residence and email addresses, telephone/mobile number and other contact information, date of birth, gender, civil status, work information, and government-issued identification numbers for some cases TCT number, mortgage details indicated in the Deed of assumption of mortgage;
Transaction information, including information about the products you wish to purchase, prices, method of payment and payment details;
Other personal information you choose to provide us relating to your transaction/s with us.

The information that we collect are only those necessary and relevant to our transactions with you. We collect your Personal Information for the primary purpose of providing our services to you. We may also use your Personal Information for secondary purposes closely related to the primary purpose, in circumstances where you would reasonably expect such use or disclosure. Such information will be kept for as long they are pertinent to the purpose for which they were collected and/or as required under the law.

LEHOA and Cumbria Ridge Inc. may share your Personal Information to Property Company of Friends Inc, Maplecrest Group Inc., Maplecrest Financing Corporation, Williamton Financing Corporation, GalingLNC and LGU’s for purposes of making available to you the products and services you may be interested in or may wish to avail. LEHOA and Cumbria Ridge Inc. may also share between and among the entities comprising the same or to its affiliate companies or other contracting companies to provide you personalized services. LEHOA may also share personal information with consultants, marketing partners, and other service providers who need access to such information to carry out work on behalf of LEHOA under a data sharing agreement, if necessary.

Further, LEHOA reserves the right to transfer your Personal Information to maintain the continuity of services to you in the event of sale or transfer of all or a portion of our assets. We will use reasonable efforts to direct the transferee to use and process your personal information in a manner that is consistent with this Data Privacy Policy.

Finally, we may also share your Personal Information to comply with applicable laws and regulations, to respond to a subpoena, search warrant or other lawful request for information we receive, or to otherwise protect our rights.

You agree that LEHOA and Buyani may for any reason, in its sole discretion and with or without notice or liability to you or any third party, immediately terminate your Account, remove or discard from the Site any Content associated with your Account, withdraw any subsidies offered to you, cancel any transactions associated with your Account, temporarily withhold any sale proceeds or refunds, and/or take any other actions that Buyani deems necessary. Grounds for such actions may include, but are not limited to, (a) extended periods of inactivity, (b) violation of the letter or spirit of these Terms of Service, (c) illegal, fraudulent, harassing, defamatory, threatening or abusive behavior (d) having multiple user accounts, or (e) behavior that is harmful to other Users, third parties, or the business interests of Buyani. Use of an Account for illegal, fraudulent, harassing, defamatory, threatening or abusive purposes may be referred to law enforcement authorities without notice to you. If a legal dispute arises or law enforcement action is commenced relating to your Account or your use of the Services for any reason, LEHOA and Buyani may terminate your Account immediately with or without notice.

Users may terminate their Account if they notify LEHOA in writing (including via email at support@buyani.com) of their desire to do so. Notwithstanding any such termination, Users remain responsible and liable for any incomplete transaction (whether commenced prior to or after such termination), shipment of the product, payment for the product, or the like, and Users must contact Buyani after he or she has promptly and effectively carried out and completed all incomplete transactions according to the Terms of Service. Buyani shall have no liability, and shall not be liable for any damages incurred due to the actions taken in accordance with this Section. Users waive any and all claims based on any such action taken by Buyani.

V. TERMS OF USE
The license for use of this Site and the Services is effective until terminated. This license will terminate as set forth under these Terms of Service or if you fail to comply with any term or condition of these Terms of Service. In any such event, LEHOA and Buyani may effect such termination with or without notice to you.

violate any laws, including without limitation any laws and regulation in relation to export and import restrictions;
use the Services to harm minors in any way;
use the Services for the purpose of committing any act inimical to the interests, rights, and privileges of any individual or juridical person;
use the Services to commit a crime, felony, or any other violation of law or regulation of any jurisdiction where the Services may be accessed and/or used;
use the Services or upload Content to impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;
falsify headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Services;
use the Services or upload Content in a manner that is fraudulent, unconscionable, false, misleading or deceptive;

access Buyani platform, open a user account, or otherwise access your user account using an emulator, simulator, bot or other similar hardware or software;
use the Services for the benefit of any third party or any manner not permitted by the licenses granted herein;
take any action that may undermine reviews, comments and feedback;
harvest or collect any information about or regarding other Account holders, including, without limitation, any personal data or information;
attempt to decompile, reverse engineer, disassemble or hack the Services (or any portion thereof), or to defeat or overcome any encryption technology or security measures implemented by Buyani with respect to the Services and/or data transmitted, processed or stored by Buyani;
upload, email, post, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

You understand that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom such Content originated. This means that you, and not Buyani, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available through the Site. You understand that by using the Site, you may be exposed to Content that you may consider to be offensive, indecent or objectionable. To the maximum extent permitted by applicable law, under no circumstances will Buyani be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of, or reliance on, any Content posted, emailed, transmitted or otherwise made available on the Site.

Buyani has the discretion to pre-screen, refuse, delete, stop, suspend, remove or move any Content, including without limitation any Content or information posted by you, that is available on the Site. Without limiting the foregoing, Buyani and its designees shall have the right to remove any Content (i) that violates these Terms of Service; (ii) if we receive a complaint from another User; (iii) if we receive a notice of intellectual property infringement or other legal instruction for removal; or (iv) if such Content is otherwise objectionable.

VII. USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example raffle entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, ‘comments’), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. XI. BUYANI POINTS REWARD SYSTEM
Registered users may earn loyalty points (“Buyani points”) in which Buyani may from time to time determine in its sole discretion. Buyani points will be credited to a User’s Account upon the completion of a successful transaction or activity approved by Buyani.

Transaction not completed on the Site do not qualify for the Buyani Points reward system. Buyani may at its sole discretion exclude categories of items from the Buyani points reward system.

Buyani points has no monetary value, does not constitute your property and cannot be purchased, sold, transferred or redeemed for cash. Buyani points shall, at all times, be subject to applicable law, implementing rules and regulations; Buyani points is set to expire depending on specific campaign or promo. Buyani points policies which may change from time to time without need of any notice to you.

XII. PAYMENT
You may pay for the Product or services using any of the payment methods suggested by Buyani. Selected payment method shall be made to Buyani, either accepting payment in its own right.

The payment methods may be subject to additional terms as prescribed by Buyani from time to time.

Buyani charges a fee for all successful transactions completed via online banking, over the counter, credit card or debit card on the Site (“Transaction Fee”). The Transaction Fee is borne by the Buyer, and is charged per transaction. [AKGJ5] [H6] The Transaction Fee is inclusive of value-added tax.

XIII. DISCLAIMER OF WARRANTIES
We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

XIV. LIMITATION OF LIABILITY
In no case shall Cumbria Ridge, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

YOU ACKNOWLEDGE AND AGREE THAT YOUR ONLY RIGHT WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH THE SERVICES IS TO REQUEST FOR TERMINATION OF YOUR ACCOUNT AND/OR DISCONTINUE ANY USE OF THE SERVICES.

NOTHING IN THESE TERMS OF SERVICE SHALL LIMIT OR EXCLUDE ANY LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY BUYANI’S NEGLIGENCE, FOR FRAUD OR FOR ANY OTHER LIABILITY ON THE PART OF BUYANI THAT CANNOT BE LAWFULLY LIMITED AND/OR EXCLUDED.

XV. YOUR REPRESENTATIONS AND WARRANTIES
You represent and warrant that:

(a) you possess the legal capacity (and in the case of a minor, valid parent or legal guardian consent), right and ability to enter into these Terms of Service and to comply with its terms; and

(b) you will use the Services for lawful purposes only and in accordance with these Terms of Service and all applicable laws, rules, codes, directives, guidelines, policies and regulations.

XVI. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Cumbria Ridge and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

XVII. SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

XVIII. TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

XIX. ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

XX. FORCE MAJEURE

LEHOA and Cumbria Ridge shall not be liable or deemed to be in default hereunder for any delay or failure in the performance of any of its obligations under this Terms of Service resulting from any cause, beyond the control of said party such as, but not limited to, acts of God, acts of public enemy, acts of the government, civil or military wars, fires, floods, earthquakes, epidemics, quarantine restrictions, strikes, labor disputes, freight embargoes, inability to obtain export licenses or import authorization and lack of available transport, except where such events are direct results of the party’s gross negligence or willful misconduct.

XXI. GOVERNING LAW
